End User License Agreement (EULA)

Effective Date: August 6, 2026

This End User License Agreement ("Agreement") governs the use of the Brook Street Bookkeeping QuickBooks Online Integration ("Application").

By authorizing or using the Application, you agree to the terms of this Agreement.

Purpose of the Application

The Application is a private software tool developed and operated by Brook Street Bookkeeping.

The Application is intended solely to facilitate bookkeeping services by securely communicating with QuickBooks Online through the Intuit Developer Platform.

License

Brook Street Bookkeeping grants authorized users a limited, non-exclusive, non-transferable, revocable license to use the Application solely in connection with bookkeeping services provided by Brook Street Bookkeeping.

No ownership rights in the Application are transferred to the user.

Authorized Use

The Application may only be used by Brook Street Bookkeeping or by clients who have expressly authorized Brook Street Bookkeeping to access their QuickBooks Online company.

Users agree not to:

  • attempt to modify, reverse engineer, or interfere with the Application;

  • use the Application for unlawful purposes;

  • attempt to gain unauthorized access to other QuickBooks Online companies or systems.

User Responsibilities

Users remain responsible for:

  • maintaining the accuracy of their accounting records;

  • reviewing financial information and journal entries when appropriate;

  • maintaining appropriate security over their Intuit and QuickBooks Online accounts.

Availability

While Brook Street Bookkeeping makes reasonable efforts to maintain reliable operation of the Application, uninterrupted availability cannot be guaranteed.

The Application may be modified, updated, suspended, or discontinued at any time.

Disclaimer

The Application is provided "as is" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

To the maximum extent permitted by law, Brook Street Bookkeeping shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from the use or inability to use the Application.

Any liability arising from use of the Application shall be limited to the amount paid, if any, for the bookkeeping services directly related to the Application.

Nothing in this Agreement limits liability where such limitation is prohibited by applicable law.

Termination

Brook Street Bookkeeping may suspend or terminate access to the Application at any time, including when authorization has been revoked, services have ended, or misuse of the Application is suspected.

Upon termination, any authorization previously granted through QuickBooks Online may be revoked.

Governing Law

This Agreement shall be governed by the laws of the State of New York, without regard to conflict of law principles.

Changes

Brook Street Bookkeeping may update this Agreement from time to time. Continued use of the Application after updates constitutes acceptance of the revised Agreement.
